Subscription Terms and Conditions
1. General provisions
1.1. These subscription terms and conditions (hereinafter referred to as the Terms) set out the main provisions governing the subscription to the Services (hereinafter referred to as the Subscription).
1.2. The Subscription service is intended for Commercial Users (B2B). Commercial Users who order a Subscription (hereinafter referred to as Subscribers) agree, in doing so, to its automatic renewal and confirm that they have read and agree to the carVertical Rules, Privacy Policy and these Terms. Persons who do not agree with absolutely all of the provision of the Rules, Privacy Policy and these Terms do not have the right to order a Subscription.
1.3. The following capitalised terms used in these Terms have the meanings set forth in the Rules.
2. Subscription period and price
2.1. The Subscription service ensures regular addition of Reports chosen by the Subscriber to the Account. Unused reports can be exchanged for Reports in accordance with the procedure established in the Rules.
2.2. The Subscription is ordered for a period of at least 30 calendar days and can be extended indefinitely.
2.3. Reports acquired through the Subscription are valid for 30 days.
2.4. The Subscription price valid at the time of purchasing the Subscription may change. When renewing the Subscription, the price valid at the time of the automatic renewal of the Subscription and published on carVertical.com will be applied.
2.5. VAT invoices for the renewal of the Subscription are generated and submitted to the Account on the day of renewal of the Subscription. Order confirmation is sent by e-mail immediately after payment.
2.6. Unsuccessful payment transactions are repeated for three days after the Subscription renewal date.
3. Subscription order, renewal, termination
3.1. The Subscription is ordered through the carVertical.com website or the mobile version of this website. A Commercial User who would like to become a Subscriber must create an Account as specified in the Rules and provide identification data for issuing a VAT invoice.
3.2. At the end of the initial Subscription period, the Subscription will automatically renew for a period of 30 days, unless the Subscriber chooses to cancel the Subscription renewal before the billing date. If the Subscriber does not cancel the Subscription by this time, the price valid at the time of renewal of the Subscription will be charged for the next Subscription period.
3.3. The Subscriber has the right to cancel the Subscription at any time by adjusting the settings in their Account. Money paid for the current Subscription period is non-refundable. Unused reports in the Account that were purchased through the Subscription will be cancelled at the end of the paid Subscription period.
3.4. If the Subscriber violates the Terms, Rules and/or applicable legal requirements, and carVertical restricts or terminates the Subscriber's access to carVertical.com and/or the Services as a result, or if the Subscriber uses the Subscription services dishonestly, carVertical has the right to immediately terminate the Subscription and cancel the Unused reports in the Subscriber's Account.
4. Automatic replenishment of Reports
4.1. The Report balance can be replenished automatically by using the automatic replenishment function (hereinafter referred to as Auto-refill). This function is in place to help Subscribers use the Subscription smoothly and to ensure that the Accounts always have a sufficient amount of Unused reports for ordering Reports. By activating Auto-refill, Subscribers agree that the Account will be replenished automatically.
4.2. Auto-refill is activated by checking the "Auto-refill" box in the checkout window. After the Subscriber spends all of the Reports in the Account purchased through the Subscription during the Subscription period, a payment transaction is initiated, during which the number of Reports specified in the selected Subscription plan is added to the Account. From the moment of replenishment, the Subscription period is adjusted by determining the new Subscription renewal date and the selected period of validity, unless the Unused reports expire earlier than the Subscription renewal date.
4.3. The Auto-refill function will be valid until the Subscriber disables it. The Auto-refill function can be managed in the Account settings.
5. Changing the Terms
5.1. carVertical has the right to unilaterally change the Subscription Terms. Notifications about changes are sent to the Subscriber at least five calendar days in advance at the e-mail address specified in the Account. If the Subscriber continues to use the Subscription services after the Terms have been changed or supplemented and the Subscriber has been notified in accordance with the procedure set out in this item of the Terms, this will mean that the Subscriber accepts the changes to the Terms.
