Rules for the Provision of Services

GENERAL RULES

1. General Rules

1.1. These rules (hereinafter referred to as the “Rules”) establish the terms and conditions and the procedure for the use of the online platform carvertical.com (hereinafter referred to as “carvertical.com”) and services provided by carvertical.com.

1.2. Carvertical.com is managed and administered by cV Group, UAB, company code 303134915, address Aukštaičių g. 7, Vilnius, Republic of Lithuania (hereinafter referred to as “carVertical”).

1.3. The user expresses their agreement with the Rules and their obligation to comply with the provisions outlined in the Rules in any manner and form by using carvertical.com. Individuals who do not agree with at least one of the provisions of the Rules do not have the right to use carvertical.com.

2. Definitions

2.1. The following terms used in these Rules shall have the meanings set forth in this section of the Rules.

  1. 2.1.1. Report shall mean a vehicle history report that the User can obtain by purchasing one Report or several Reports as part of a Report package. Each purchased Report entitles the User to generate one vehicle history report.

  2. 2.1.2. Commercial User shall mean a natural or legal person who uses the Services for business, trade, craft, or professional purposes (not for consumer purposes) or for dual purposes, i.e., consumer and business purposes. Still, considering all circumstances related to the Services, business purposes prevail.

  3. 2.1.3. User shall mean a person who has ordered a Report or uses carvertical.com in any other form, including Users and Commercial Users.

  4. 2.1.4. Account shall mean a User’s account on carvertical.com that the User creates to use part of the Services.

  5. 2.1.5. Services shall mean services provided to the User for a fee, which they can obtain at carvertical.com, including, but not limited to, ordering Reports or Report packages and providing vehicle history reports.

  6. 2.1.6. Consumer shall mean a natural person who uses the Services for purposes unrelated to their business, trade, craft, or profession (for consumer purposes) or for dual purposes, i.e., for consumer and business purposes, but where, taking into account all circumstances related to the Services, business purposes do not prevail.

  7. 2.1.7. VIN (Vehicle Identification Number) shall mean a unique 17-character code assigned by the manufacturer to each vehicle leaving the factory.

  8. 2.1.8. Third Party Websites shall mean independent websites that are not affiliated with Carvertical.

3. Account and Acceptance of the Rules

3.1. To use certain carVertical features (e.g., viewing purchased and unused Reports, viewing purchase history), the User must create an account (“Account”). An Account can be created in the following ways:

  1. 3.1.1. by entering one’s email address and chosen password. In this case, the Account is activated by clicking on the link in the email sent by CarVertical to the email address provided during registration;

  2. 3.1.2. by entering your email address when purchasing a Report or a Report package on carVertical.com for the VIN code specified by the User. In this case, the password is created by clicking on the link in the email sent by carVertical to the email address specified during the purchase;

  3. 3.1.3. by using third-party accounts (e.g., Facebook, Google, or Apple) and granting carVertical access to the necessary data from such accounts.

3.2. The agreement between carVertical and the User shall be deemed concluded from the moment the User, when registering for an Account or purchasing a Report or a Report package without an Account, indicates that they have read and agree to these Rules, and confirms the order by clicking the respective button (e.g., “Buy”, “Pay Now”, or equivalent).

3.3. Commercial Users may be subject to additional business subscription terms or a separate written agreement. In such cases, these Rules shall apply to the extent that the specific business terms or agreement do not provide otherwise.

3.4. The User is responsible for the confidentiality of the Account login details and for any activities carried out by third parties on behalf of the User due to the disclosure of these details. The User must immediately notify carVertical of any loss or unauthorised use of login details by email at info@carvertical.com.

3.5. The User may delete their Account at any time by submitting a written request by email to info@carvertical.com or by clicking Delete Account.

4. Report

4.1. carVertical.com Users can purchase Reports or Report packages. Purchased Reports are considered unused until the User uses them to generate a vehicle history report by entering the vehicle’s VIN on the carVertical.com website. In this case, the unused Report is automatically converted into a generated (used) vehicle history report.

4.2. Prices for Reports may vary depending on the availability of data in a particular country, the complexity of its acquisition, the rates applied by data providers, as well as market changes, currency fluctuations, or special offers. The price charged is the one displayed on the carVertical.com website at the time of ordering, before the final payment is made.

4.3. Reports purchased but not used by the User are valid for six (6) months from the date of purchase. After this period, unused Reports become invalid and are removed from the User’s Account.

4.4. After entering the vehicle’s VIN on the carvertical.com website, the User can view a list of possible data categories, which indicate what areas of information will be checked when preparing the Report. However, this does not mean that the final Report will contain information in all of these categories—if carVertical’s sources do not have data for a specific category, the corresponding category will remain empty in the final Report.

4.5. A Report is usually generated and becomes available in the User Account within a few minutes of purchase confirmation. The User will also receive an email with a link to the generated Report. For Commercial Users, the deadlines for submitting Reports may be specified in a separate agreement.

4.6. The Report is available to the User in a web browser for a limited period of time, as specified in Clause 4.7 of these Rules, and can be accessed in the Account or via an active link. Carvertical.com also allows the User to save the Report in PDF format on a durable medium on the User’s device.

4.7. The Report will be available to the User in a web browser for a period of 30 calendar days from the date of uploading the Report to the User’s Account. After the expiry of the period specified in this clause of the Rules, the Report will no longer be available to the User, and they will not be able to save it in PDF format. To obtain data about a specific vehicle again, the User should order a new Report.

5. carVertical Reports

5.1. The information contained in the reports on vehicles is collected from various independent sources, including public databases, commercial registers, and other third-party data providers. CarVertical has no authority to independently change, add to, or remove such information—any changes are only possible in cooperation with the original data source or when explicitly provided for in applicable laws.

5.2. CarVertical uses reasonable technical and organisational measures to ensure that the information is collected and presented as reliably as possible. However, due to the nature of the sources, the time of presentation of the information, and technical factors, the information presented in the Report may not always accurately reflect all the facts about the vehicle or its current condition.

5.3. The information presented in a Report reflects the history of the vehicle to the extent permitted by the data available to CarVertical at the time of preparation. Data availability may depend on the country of registration of the vehicle, the manufacturer, the model, or other factors. In some cases, some information may not be available due to legal or technical restrictions. If the purchased CarVertical report does not contain any historical data (usually visible in the Odometer, Damage, and Timeline sections), such a report is considered a “no-findings report”. In this case, the Reports used will be returned to the User’s account.

5.4. If the User notices any possible inaccuracies or discrepancies in the information about the vehicle’s history provided in the Report, they can report this to carVertical by filling out a special notification form: https://www.carvertical.com/ie/contacts. Upon receiving such a report, carVertical will take reasonable steps to verify the information, including contacting the relevant data source for additional information or clarification.

In cases where it is necessary for the purposes of verifying the information, carVertical may ask the User to provide additional information related to the nature of the disputed data or specific circumstances that allow the identification of possible discrepancies in the Report.

5.5. Reports serve as an additional tool of information and should not be the sole basis for deciding whether to purchase or refuse to purchase a vehicle. The information contained therein may not cover all the factual circumstances relating to the vehicle. The final decision on the purchase of a vehicle rests with the User. This provision does not in any way limit or affect any mandatory consumer rights provided for in applicable consumer protection legislation.

5.6. CarVertical recommends, in all cases, even if the content of the Report appears clear and sufficient, that the potential vehicle buyers verify the information additionally by contacting the relevant state authorities, the vehicle owner, a technical inspection centre, an authorised car service centre, or an auto appraiser.

5.7. Carvertical does not prohibit and encourages Users to disclose, publish, or otherwise use the Report when it is related to the User’s desire to evaluate a vehicle or provide its evaluation to third parties to justify the relevant characteristics and reliability of the vehicle. However, the User is prohibited from reselling the Report or otherwise directly using it in commercial activities when the Report itself or part thereof is the subject of a commercial transaction or commercial activity.

5.8. carVertical allows Users to purchase the Report only if they have a relevant connection to the specific vehicle. Before selling a Report, carVertical asks Users to provide information about the purpose of purchasing the Report. Users are not allowed to purchase a Report if they do not meet one of the criteria (which can be selected before a purchase) to demonstrate a relevant connection with the vehicle. Over time, carVertical may update the criteria that must be met for a User to purchase a Report.

6. User Obligations

6.1. The User undertakes to:

  1. 6.1.1. refrain from using any automated devices, programs, algorithms or methodologies, or similar or equivalent manual processes, to access, acquire, copy or monitor any part of Carvertical.com or any content, or in any way reproduce or circumvent the navigational structure of Carvertical.com or the presentation of Carvertical.com or any of its content in order to obtain or attempt to obtain any material or information that is not specifically made available to the User on Carvertical.com;

  2. 6.1.2. refrain from seeking unauthorised access to any part or function of Carvertical.com, or to systems or networks connected to Carvertical.com, by hacking, password mining, or other unlawful means;

  3. 6.1.3. refrain from taking any action that would unreasonably or disproportionately burden the infrastructure of Carvertical.com or the systems or networks connected to Carvertical.com;

  4. 6.1.4. refrain from using any device, software, or performing any other actions that would interfere with or seek to interfere with the proper functioning of Carvertical.com or any operation performed by Carvertical.com, or any other individual’s use of Carvertical.com;

  5. 6.1.5. refrain from using Carvertical.com or any content provided therein for illegal purposes or purposes conflicting with these Rules, or to encourage any illegal activity or other activity that violates the rights of Carvertical or other individuals;

  6. 6.1.6. refrain from purchasing the Report if the User does not meet one of the criteria related to the User’s connection with the relevant vehicle, which are selected before purchasing the Report, and select only those criteria that correspond to the actual circumstances related to the purpose of purchasing the Report and the relationship with the relevant vehicle;

  7. 6.1.7 refrain from using carVertical.com or the Reports for commercial purposes, including reselling, distributing, or offering them to third parties, unless carVertical has expressly agreed to do so;

  8. 6.1.8. comply with these Rules and the requirements of applicable law when using the services of Carvertical.com or paying for them.

7. Purchase and Payment for Reports

7.1. Users may purchase individual Reports or Report packages. Reports may be purchased on the carvertical.com website or in the app. Buying a Report as part of a package can be more cost-effective than buying it separately.

7.2. Users can pay using a credit or debit card, bank transfer, PayPal, or cryptocurrency. Purchased Reports (or part of a Report package) are considered unused until the User uses them to generate a vehicle history report.

7.3. If payment is made in cryptocurrency, the User is fully responsible for the compliance of such payment with the laws of their jurisdiction. CarVertical assumes no responsibility for the security of such payment to the maximum extent permitted by law.

7.4. CarVertical may run marketing campaigns during which discount codes are provided for Reports or Report packages. CarVertical determines the terms and conditions for the use of such codes (including validity period, scope of application, and other restrictions). To use the code, it must be entered at the time of purchase. To receive the discount, the code must be entered during checkout, as it cannot be applied after the purchase is finalised. 

7.5. Report prices may vary depending on the country in which the vehicle being checked is registered or used, as data availability, complexity of acquisition, and rates charged by data providers vary between jurisdictions. Prices may also be affected by general economic and market factors, currency fluctuations, and applicable local taxes.

7.6. For VAT purposes, Reports are considered electronically supplied products. For this reason, CarVertical determines the place of purchase in accordance with Council Directive 2006/112/EC of 28 November 2006, Council Implementing Regulation (EU) No 1042/2013 of 7 October 2013, and Article 13(2)(15) of the Law on Value Added Tax of the Republic of Lithuania, and applies the VAT rate according to the User’s place of residence. The place of residence is determined using technological, communication, and other objectively available means, as well as based on the data provided by the User. The responsibility for the accuracy of the provided data lies with the User. Commercial Users are subject to the general rules set forth in the Law on Value Added Tax of the Republic of Lithuania.

7.7. The User can download a VAT invoice for purchased Reports or Report packages from their account. The invoice is available until the tenth day of the calendar month following the month of purchase.

8. Right of Withdrawal and Return Policy

8.1. If the Consumer purchases a Report or a package of Reports, they have the right to withdraw from such a purchase within 14 days without giving any reason by notifying CarVertical by email at info@carvertical.com, except in the cases specified in Clause 8.2 of these Rules.

In the notice of withdrawal, which is drafted in the Consumer’s chosen layout and wording, the Consumer must indicate the order number, date of purchase, their contact details, and a clear request to withdraw from the specific purchase.

Upon receipt of such a notice, carVertical shall immediately, but no later than within 14 days of receipt, refund the Consumer all amounts paid by them, in accordance with these Rules and the provisions of applicable law.

8.2. Purchase, Use, and Right of Withdrawal of Reports

To obtain a vehicle history report, the Consumer must purchase one or more Reports. Reports can be purchased individually or as a package, which is more cost-effective than purchasing individual Reports.

Each purchased Report is considered unused until the Consumer uses it to generate a vehicle history report. Once the report is generated, the service is considered to have been provided immediately, and the Report is considered used.

By purchasing a Report or a package of Reports, the Consumer agrees and confirms that:

  1. (i) the right of withdrawal does not apply to used Reports, as the service is considered to be fully provided at the time of report generation;

  2. (ii) the right of withdrawal applies to unused Reports, purchased either individually or as part of a package, and may be exercised within 14 days of purchase;

  3. (iii) if the Consumer cancels only part of the package, the refund amount is calculated proportionally, taking into account the number of unused Reports, minus the discount applied and reasonable administrative costs not exceeding the limits set by law.

9. Personal Data Protection

9.1. The terms and conditions governing the processing of personal data by carVertical are described in the carVertical Privacy Policy. Consumers should read it to learn how carVertical collects, stores, uses, and protects their personal data.

9.2. For Business Users and Legal Entities

If you use our services as a legal entity or for commercial purposes (hereinafter referred to as the “Commercial User”), the following additional terms shall apply: carVertical and the Commercial User act as independent data controllers. Each party acknowledges its responsibility for compliance with applicable data protection laws in relation to its data processing activities.

10. Changes to the Rules, Availability of Services, and Termination of the Agreement

10.1. carVertical may periodically update these Rules, including the description of the Services or other parts of the Rules, for example, in the event of changes in legislation, updates to technological solutions, or changes in the nature of carVertical’s services.

Consumers will be notified of any material changes to the Rules no later than five (5) calendar days before the changes take effect. The notification may be sent by email to the address specified in the Consumer’s account or submitted directly on the Platform, for example, through a clearly visible notification or a pop-up window that must be confirmed.

If the Consumer disagrees with the proposed changes, they have the right to terminate the agreement with CarVertical before the date of entry into force by deleting their account at this address: https://www.carvertical.com/ie/delete-my-account. Before deleting their account, the Consumer should use all of their unused Reports, as they will become unavailable after the account is deleted or the changes take effect, and no compensation or refund will be provided for them.

The changes to the Rules do not apply to Reports or Report packages that were purchased before the changes came into effect.

If the Consumer does not submit an objection within the specified period and continues to use the Services after the changes come into effect, it is considered that they agree to the changes.

10.2. To ensure the safe, reliable, and transparent provision of services to Users, CarVertical has the right to restrict or terminate the User’s access to Carvertical.com and (or) the Services if the User violates the requirements of these Rules and/or applicable laws. Violations that may result in the actions mentioned in this section of the Rules include, but are not limited to, the following actions: i) falsification of Reports; ii) reselling Reports without the prior written consent of CarVertical; iii) attempting to purchase the Services using illegally obtained payment details; iv) using automated means to access the Reports or the Carvertical.com website; v) other material violations of the Rules or legislation that affect the security, legality, or rights and interests of other Consumers.

CarVertical shall notify the User who has violated these Rules and/or the requirements of applicable laws and regulations about the restriction or termination of access at the email address specified in the Consumer’s Account. Such a User may be restricted from using Carvertical.com and/or the Services in the future, for example, by creating a new Account.

The Consumer understands and agrees that for the above violations of the Rules, he/she may be liable for reasonable losses, expenses, or damages incurred by CarVertical, and undertakes to compensate for damages caused by: i) violation of these Rules; ii) violations of applicable laws; iii) decisions made by the Consumer based on the information provided in the Report, if this violated the provisions of these Rules or applicable laws.

However, this provision shall not apply if the Consumer’s actions were lawful, reasonable, and proportionate, and liability cannot be imposed under applicable consumer protection law.

10.3. Carvertical has the right to temporarily restrict the operation of Carvertical.com in order to perform technical maintenance or related technical functions, having notified Consumers in advance at the email address specified in their Account within a reasonable period of time. In case of urgent necessity, Carvertical.com reserves the right to temporarily restrict its activities without notifying Consumers, provided that such restrictions do not adversely affect the rights of Consumers under Services that have already been performed or are being performed.

10.4. Carvertical also informs that the activities of Carvertical.com may be temporarily restricted due to force majeure circumstances. In such a case, Carvertical will immediately notify the Consumers of the existence of force majeure circumstances, but Carvertical will not be held responsible for any disruptions to Carvertical.com caused by force majeure circumstances.

11. Liability

11.1. CarVertical’s liability to the User shall be determined in accordance with applicable law. CarVertical shall be liable for damage caused by its failure to perform or improper performance of its contractual obligations, including cases where the damage was caused by negligence, except in cases where CarVertical proves that the obligation was not fulfilled or improperly fulfilled due to force majeure or other circumstances provided for in the legislation that exclude civil liability.

11.2. CarVertical is responsible for the proper submission of Reports through the Platform, provided that they comply with the conditions set out in these Rules. CarVertical makes reasonable efforts to ensure the functioning of the Platform and the availability of data, but the information contained in the Reports is collected from independent external sources, the content of which CarVertical does not control. Therefore, if the information provided in the Report does not correspond to reality, CarVertical’s liability shall be assessed in accordance with applicable law, taking into account whether such information violated the User’s rights or caused them damage.

11.3. Carvertical.com is only responsible for the technical placement of the information provided in the Report on Carvertical.com, if the Report meets all the requirements of the Rules, and for the technical maintenance of the Carvertical.com database. Carvertical is not liable to the maximum extent permitted by law for the inaccuracy of the information provided in the Report and its content.

11.4. Carvertical.com may contain links to Third Party Websites. These links are provided solely for the convenience of Carvertical.com Users. Carvertical does not control such links or the Third Party Websites and is not responsible for the content of Third Party Websites, including any information or material contained on such websites.

12. Intellectual Property Rights

12.1. Carvertical.com, the material contained therein, the code, design, Carvertical.com domain name, all copyrights, trademarks, databases, names, and other intellectual property or other property related to Carvertical.com and/or the material contained therein are wholly owned by Carvertical or used by Carvertical on a legal basis, except for intellectual property objects (trademarks, logos, etc.) related to Carvertical’s partners or suppliers, and are protected by national and international intellectual property laws and other legislation.

12.2. Without the express permission of Carvertical, the User shall have no right to copy, record, reproduce in any form or by any means, present, publish, transmit, sell, process, submit, license, modify, republish, edit, broadcast, retransmit or otherwise publish, publicly display or demonstrate, adapt, distribute or use the materials on Carvertical.com or their code or any part thereof, or create derivative works based thereon.

13. Applicable Law and Dispute Resolution

If the User believes that CarVertical has violated their rights or legitimate interests in relation to the purchased Reports or Report packages, they must first submit a complaint to carVertical in writing by email to info@carvertical.com, clearly stating their claims and providing relevant evidence.

carVertical will respond to the complaint as soon as possible, but no later than within 30 days. If the User disagrees with carVertical’s response or believes that their rights are still being violated, they have the right to contact:

The State Consumer Rights Protection Authority in their country, or other national alternative dispute resolution (ADR) institutions.

If the dispute cannot be resolved amicably, the Consumer has the right to refer the matter to the competent court in accordance with the applicable legislation. If the Consumer uses carVertical as a natural person, they have the right to rely on the mandatory consumer protection laws of their country of residence and/or refer the matter to the courts of that country.

For Commercial Users, all disputes shall be settled in a competent court of the Republic of Lithuania, unless otherwise agreed by the parties.

14. Information Protection Measures

14.1 The User is responsible for the confidentiality and proper protection of their account login details. We recommend using unique passwords, changing them regularly, and taking the usual security measures, especially when logging in from shared or publicly accessible devices. The User is responsible for any actions taken using their login details if they have not ensured their proper security.

14.2 CarVertical manages the security of its information in accordance with the international standard ISO/IEC 27001, applying a systematic, risk-based information security management process. In addition, CarVertical complies with the requirements of the General Data Protection Regulation (GDPR) and takes technical and organisational measures to protect data.

Although CarVertical strives to minimize risks and protect User data, there is no online solution that can guarantee absolute security. However, CarVertical’s compliance with ISO 27001 and GDPR ensures a high level of data protection by continuously improving security practices and procedures.

15. Final Provisions

15.1. These Rules constitute the entire agreement between the User and Carvertical and supersede and replace all prior written or oral agreements, promises, representations, and understandings between the User and Carvertical relating to the subject matter of these Rules. Carvertical has the right to enter into a separate written agreement with the User. Such an agreement shall be subject to the terms and conditions of the Rules, unless otherwise expressly stated in such agreement.

15.2. If any part of these Rules is found to be invalid, illegal, or unenforceable to any extent under applicable law, the invalidity, illegality or unenforceability of such terms shall not invalidate, render illegal or unenforceable the remaining terms of the Rules, which shall continue to be valid and enforceable to the maximum extent permitted by applicable law.

15.3. carVertical has the right to transfer all or part of its rights and/or obligations under these Rules to a third party. carVertical shall notify the User of such transfer of rights and/or obligations by email to the address specified in the User’s account or directly on the Platform (e.g., through a clearly visible notification or pop-up window).

If the User disagrees with the transfer of rights and/or obligations, they have the right to terminate the agreement with carVertical within 14 calendar days of receiving the notification by deleting their account at this address: https://www.carvertical.com/ie/delete-my-account. Before deleting the account, the User should use all of their unused Reports, as they will become unavailable after the account is deleted or the transfer takes effect, and no compensation or refund will be provided for them.

15.4. If the User or Carvertical fails to exercise any right specified in these Rules, this shall not be considered a waiver of such right.
